Intercity EULA

This is an agreement between you, the purchaser and/or licensee, and Intercity Studio Ltd. (hereafter Intercity). By purchasing, or downloading, or otherwise handling the digital typeface software (hereafter Fonts), you accept the terms of this agreement. If you do not accept the terms, do not purchase, download, or otherwise handle the Fonts.

You are granted specific licenses to use the Fonts on a certain number of computers within your organisation matching the Desktop License size purchased, and/or the website visitors per month matching the Web License size purchased, and/or the app active users per month matching the App License size purchased.

Desktop License — “Within your organisation” means usage inside your company or organisation, across all locations, and shall not include usage by clients or other third parties, including self-employed parties who are working for you but not situated at one of your business locations. Self-employed third parties temporarily working at one of your business locations on your devices are considered part of your organization. You may use the Fonts for the creation of static or moving files like images and videos, including the use of Fonts for the creation of logos and broadcasts.

Website License — You must purchase a Web License 
for each individual domain or subdomain on which the Font is embedded. “Visitors per month” means the number of uniquely identifiable users visiting your website. You must record and control the number of monthly visitors by using an analytics tool generally recognised to be able to document the number of unique visitors to a website. You must purchase a licensing upgrade if you exceed your monthly visitors limit at any point. A copy of the Fonts may be sent to a third-party website developer if necessary. You must not use the Fonts to create or save any documents.

App License — You must purchase an App License for each individual app on which the Font is embedded. “Active users per month” means the number of uniquely identifiable users active on your app. You must record and control the number of monthly visitors by using an analytics tool generally recognised to be able to document the number of users of an app. You must purchase a licensing upgrade if you exceed your monthly users limit at any point. A copy of the Fonts may be sent to a third-party app developer if necessary. You must not use the Fonts to create or save any documents.

You are purchasing the rights, meaning a non-exclusive, non-transferable, perpetual, and worldwide license, to use the Fonts as specified in this agreement. You are not purchasing the copyright to the design or any other part of the Fonts. You may not distribute, lend, rent, sell, give away, publicly or privately share the Fonts. However, a copy of the Fonts may be sent to a printer or repro house if necessary.

You may not modify or rename the Fonts in any way. Please contact Intercity for any customisation requests or additional glyph design.

Exclusive licenses may be purchased if required. This would mean Intercity cannot use or sell the Fonts in the license period. Intercity may however be permitted to use the Font files for promotion and portfolio materials.

If the Fonts do not function as expected, Intercity will investigate and endeavour to rectify the problem as soon as possible. Should we fail to rectify the problem within 30 days after notification, you may ask for a refund. After a refund, the respective license is terminated with immediate effect and any further use is strictly forbidden.

You may not use the Fonts in any racist, homophobic, sexist, discriminating or hateful context. Intercity is not responsible for any legal issues that may occur with your usage of the Fonts.

Any breach of the terms and conditions of this agreement may terminate your license to use the Fonts. If you fail to resolve the breach within 30 days, the license will be terminated. After termination of the license, you must destroy all copies of the Fonts.

Any rights not expressly granted in this agreement are reserved to Intercity.
